Jigsaw Learning Terms and Conditions for Access to Online Professional Learning Series
Jigsaw Learning Inc. maintains any courses offered and other linked and related sites (the “Site”) for the use of its customers, vendors, students, and other Site users (“Users”) upon agreement to the following terms for the purposes of online professional learning (the “Service”). Please read the terms carefully before using the Site.
The Service and the Materials are intended solely for the personal, non-commercial use of our registered learners and may only be used in accordance with this Agreement. “Materials” means all past, present and future content of the Service, including support resources, learning resources, materials displayed within the Service, such as text, graphics, articles, photographs, images, illustrations and the design, structure, sequence and “look and feel” of the Service, and all other intellectual property, including all identifying marks. “Identifying Marks” means the trademarks, service marks, logos, or any other trade name, trademarks, service marks and other distinctive or proprietary brand features of the Materials.
The Materials contain proprietary and confidential information of Jigsaw Learning Inc. and Jigsaw Learning Inc. is the sole and exclusive owner of all intellectual property rights or other property rights in or to the Materials, including any improvements or modifications thereto whether or not created by Jigsaw Learning Inc. You agree that, as you access the Service provided on the Site, all the intellectual property rights in the Materials are owned by Jigsaw Learning Inc. or its licensors.
Use of this website indicates acceptance of these “Terms and Conditions” and forms a binding agreement between you and Jigsaw Learning Inc. If you do not agree to these terms, please do not use this Site.
1. Use of Site
Jigsaw Learning Inc. provides various materials, information, quizzes, tests, questions, articles, news and other information on this and related sites and in courses offered through this site (the “Materials”). Jigsaw Learning Inc. authorizes each User to access one copy of the Materials. Materials may be downloaded and a maximum of one copy of the Materials may be printed provided that Users make no modifications to the Materials and you retain all copyright and other proprietary notices contained in the original Materials on any copies of the Materials. Users may not modify the Materials at this Site in any way or reproduce, share or distribute them. Users will keep all Materials confidential, and will not sell, auction, loan, rent, give away, describe, summarize, or otherwise reveal the Materials or their contents, to any other person or entity. Any breach of these Terms of Use automatically terminates your authorized use of the Site.
Except as expressly authorized herein, you agree to the following:
your access to the Materials not grant ownership or any security right or title in any intellectual property relating to said Materials, including but not limited to any copyrights, trademarks, patents or other rights, whether or not registered, all of which shall remain the property of JCS;
you will not violate any intellectual property rights that Jigsaw Learning has in the Materials or reproduce, copy, translate, modify, adapt, create derivative works from, distribute, transmit, transfer, republish, modify, compile or decompile, reverse engineer, display, remove or delete such rights in the Materials or any portion thereof; remove, obscure or alter any copyright notice, trademark or other proprietary rights notices affixed to or contained within the Materials; or
you will not integrate the Materials or share information, including the documents found in the Materials, with any unauthorized third party;
you will not, nor will you allow any third party (whether or not for your benefit) to
use, copy, modify, translate, publicly perform or display, transmit, broadcast, publish, edit, adapt, reproduce, or transfer the right to use of the Service except as expressly provided in this Agreement;
run, license, rent, lease, loan, distribute, or sell access to the Materials;
build or support (and/or assist a third-party in building or supporting) products or services in competition with the Materials, or access the Materials to build products or services using similar ideas, features, functions, interface or graphics included in the Service;
use, store, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, create derivative works from, display, license, sell or otherwise exploit the Materials for any purposes other than as expressly permitted under this Agreement;
decompile, reverse engineer, disassemble, or otherwise attempt to obtain the source code of any Materials to create derivative works based on the Service;
upload, post, e-mail or otherwise send or transmit any material that contains viruses or any other computer code, files or programs designed to interrupt, destroy, usurp, modify or limit the functionality of the Materials or any computer software, hardware, telecommunications equipment or other equipment or devices associated with the Service;
circumvent, disable or otherwise interfere with security related features Materials or enforce limitations on use of said course content in the Service;
interfere with the servers, networks or other devices or equipment connected to or used in connection with the Service or to violate any of the procedures, policies or regulations of such networks, devices or equipment, or of any service providers associated with or connected to the Service;
remove, obscure, or alter any copyright, logo, trademark, or other legal notices displayed in or along with our Services or any Materials or other custom products or merchandise, or otherwise use any of said course content in a manner that creates the impression that the course content belongs to you.
you will only access the Service for your own personal and/or education-related purposes and not for commercial purposes.
You agree that access to the Service and the Materials does not constitute any basis for ownership of the Materials in the provision of the Service and that Jigsaw Learning, its affiliates or its licensors own all legal right, title, and interest in and to the Materials within the Service and all information, materials, images, software, photographs, articles, functions, text and other content solely provided by or on behalf of Jigsaw Learning. The Materials, and the selection and arrangement thereof, are protected by copyright laws and other intellectual property laws. We reserve all rights not expressly granted herein with respect to the Service and the Materials. Unless otherwise noted, the Materials, the Jigsaw Learning name and all other trademarks, service marks, trade names, logos or other designations of source displayed in the Service are the property of Jigsaw Learning, its affiliates or licensors. All third party trademarks, service marks, trade names, logos or other designations of source are the property of their respective owners. Nothing in the Service shall be construed as granting any license or right not expressly set forth herein. Any unauthorized use of the Materials while having access to the Service will terminate the permission or license granted herein and may violate applicable law. You will not alter, adapt or otherwise modify any part of the Materials.
2. Geographic Location
By using Jigsaw Learning’s Service, Users consent to the transfer of personal information to Canada in accordance with this Privacy Policy. Users understand that personal information will be subject to the laws of Canada, which may be different from those of your country of residence.
3. User Warranty
As a User you warrant that you are not an agent or employee of any other test preparation company and the Site and Materials solely for the purpose of increasing your LSAT score.
4. Trademark and Copyright
Jigsaw Learning Inc., and certain other brands, trademarks, and service marks are marks of Jigsaw Learning Inc. and its affiliates. The Materials on this Site are copyrighted, and any unauthorized use of any Materials on this Site may violate copyright, trademark, and other laws.
5. Hyperlinks
Links to external websites are provided solely as a convenience to you. Jigsaw Learning Inc. has not reviewed all of these external websites, does not control and is not responsible for any of these sites or their content. If you decide to access any of the external websites linked to this Site, you do so entirely at your own risk.
6. No Warranty
The Materials provided at this site are provided “as is” without any warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. Jigsaw Learning Inc. further does not warrant the accuracy and completeness of the Materials at this Site. Jigsaw Learning Inc. may make changes to the Materials at this Site, or to the services and prices described in them, at any time without notice. The Materials at this Site may be out of date, and Jigsaw Learning Inc. makes no commitment to update the Materials at this Site.
7. Limitation of Liability
In no event will Jigsaw Learning Inc., its suppliers, or other third parties mentioned at this Site be liable for any damages whatsoever (including, without limitation, those resulting from lower test scores, interruption of services or inaccurate information) arising out of the use, inability to use, or the results of the use of this Site, any websites linked to this Site, or the Materials or information contained at any or all such sites, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages. If your use of the Materials or information from this Site results in the need for servicing, repair or correction of equipment or data, you assume all costs thereof.
8. Applicable Law
The Terms of Use are governed by the laws of the province of Alberta, Canada. Failure to enforce strict performance of the Terms of Use of Use shall not be construed as a waiver of any provision or right. Jigsaw Learning Inc. may assign its rights and duties under the Terms of Use without notice to any party at any time.
9. Effective Date and Updates
The Terms are effective as of November 1, 2020 and are subject to change without notice by Jigsaw Learning Inc. at any time. Please check for changes regularly. Your use of this Site after such changes constitutes your agreement to such changes.
We reserve the right to discontinue any aspect of the Service at any time.
